The name shall be The Triangle Area Citadel Club (Raleigh, Durham, and Chapel Hill)

ARTICLE II - CLUB PURPOSE

The club shall be organized and dedicated to supporting the mission of The Citadel and The Citadel Alumni Association. The goal of the club is to further the bonds of friendship developed as a student and to help serve the college, local community, and nation.

ARTICLE III - CLUB MEMBERSHIP

Classification - Club Membership shall be Honorary, Regular, Associate and Special.

Honorary Members - Determined by the Officers, Alumni Association Board or membership of the local club and shall be individuals who have demonstrated outstanding service to the college, community, state, or nation. They do not have to be alumni of The Citadel and are not required to pay dues, if dues are a club requirement.

Regular - Any graduate of The Citadel or any former cadet, CGC or veteran student who was honorably discharged from The Citadel after one academic year.

Associate - Individuals in the following classifications are eligible:

• Parent or sibling of a cadet

• Parent, sibling or child of a person eligible for regular membership

• Any person who has a member of his/her immediate family on the faculty or staff of The

• Citadel

Special - Individuals in the following capacities are eligible for special membership. Dues (if required) for this classification are waived.

• Cadets from the local area

• Other cadets who have distinguished themselves by outstanding service to The Citadel

• This classification changes when an individual graduates or is otherwise honorably discharged from the

• college. The status can then be changed to regular.

• Regular and associate members shall renew their membership on an annual basis by paying dues, if required, as set by the Board of Directors of the club. Only regular members have voting rights and club members are encouraged to join The Citadel Alumni Association.

1. The management of the club shall be vested in an executive body composed of     members known as the Club Board of Directors. In questions of interpretation of bylaws and other matters, the Board of Directors has the final decision. The membership can rescind a decision by calling a special meeting. The Board has authority over the club funds to ensure growth with safety.

   
   

2. In the event the club dissolves, any funds remaining after debts are cleared will go to The Citadel Alumni Association, where they will be placed in a separate account. In the event the club is revived, the money will be returned to the club.

   
   

3. Members of the Board shall be elected for a two-year term, with half being elected in opposite years.

4. The club will elect with a majority vote. In case of a tie, voting will continue until the vacancy is filled.

5. Board members are eligible for re-election.

   
   

6. The membership can place a member’s name on the ballot, or an individual can choose to run.

   
   

7. Unexpected vacancies will be filled by a majority vote of the Board.

   
   

8. Failure to attend two consecutive Board meetings may be deemed the equivalent of a desire to resign.

   
   

9. The Board shall meet on a quarterly basis or at the call of the president.

10. A special meeting may be held at any time upon the call of the president, secretary or two Board members. At a called meeting, the business will be confined to that specified in the call for the meeting.

11. A quorum of the Board shall consist of 100% of those present.

12. The Board will be chaired by the president.

ARTICLE V - CLUB OFFICERS

1. The officers of a club shall be a president, one or more vice presidents, a secretary, a treasurer and other such officers as deemed necessary by the Board.

2. All officers shall be elected by the membership.

3. The term of each office will be determined by the club and placed in the bylaws and constitution.

4. Resignations shall not be effective until accepted by the Board.

5. The president will preside at meetings and dinners and is automatically a member of the board of directors. The president shall nominate the chairman of any committee formed and will perform other duties as requested by the Board.

6. The vice president shall have such powers and duties as prescribed by the President and in the President’s absence will assume those duties.

7. The secretary shall be responsible for:

   
   

• Keeping any minutes as required by the president and/or board.

• Notifying members of any club activities.

• Notifying members of election results.

• Conducting official correspondence for club, keeping records and preparing reports.

• Maintaining rosters of club members, updating address changes, and notifying the Office of Alumni Affairs when a member has an address change.

• Publishing rosters of officers and members.

1. The treasurer is the custodian of the funds of the club and shall be responsible for:

• Disbursing funds to defray expenses authorized by the board of directors.

• Reporting status of funds at each meeting of the board.

• Presenting an annual Financial Status report.

• In the event of the temporary absence of the secretary or treasurer, the duties may be performed by another member of the club appointed by the president.
  

ARTICLE VI - CLUB MEETINGS

1. The annual business meeting of the club for election of officers and directors and other business as prescribed in the bylaws shall be held annually on such date as determined by the Board.

2. A special meeting may be called by the president or upon the written request of ten regular members. At least seven days’ notice will be given to members.

3. Frequency of meetings will be determined by the club. Types of functions also will be determined by the membership.

4. A muster formation on March 20 is greatly encouraged for celebrating the birthday of The Citadel.

5. The setting of the agenda for each meeting will be the responsibility of the respective committee(s), depending on the type of function, or the president will establish the agenda.

   
   

ARTICLE VII - CLUB COMMITTEES

After the annual election and at the organizational meeting of the board, the president may appoint the following committee chairmen:

Membership

The membership committee shall promote membership in The Citadel Alumni Association and the club and shall work to stimulate attendance at all meetings. The committee shall assume, along with the secretary, responsibility of publishing the membership rost

Citadel volunteers committee

The Citadel volunteers committee shall work with the admissions office in promoting recruiting in the

club’s local area.

Programs committee

The programs committee will prepare a proposed program of activities for the upcoming year. It will assist with the other committees (muster, class volunteers, etc.) which have program/activity needs during the year.

Other committees as designated by the president and/or board will assume the responsibility of specific functions given to said committee.

ARTICLE VIII - CLUB DUES

The issue of dues will be decided by a membership vote after the club has determined its organizational style.Regular and associate membership dues shall be determined by the board of directors.

ARTICLE IX - CLUB AMENDMENTS/CHANGES

Amendments or changes to the bylaws may be made at any meeting of the club by a two-thirds vote. Proxies may be used. Such proposed amendments and changes shall, however, be considered only when the secretary has distributed copies of the same to the members at least seven days prior to the meeting.

ARTICLE X – ADDITIONAL DUTIES OF CLUB PRESIDENT AND OFFICERS

The immediate past president of the club shall become an executive member of the board of directors with full voting rights of a director for a term of one year.
